Welcome to Fabrickly. These Terms and Conditions (“Terms”) govern the relationship between Fabrickly (“Company,” “we,” “us,” or “our”) and the client (“Client,” “you”) regarding the design, tech pack creation, and manufacturing of apparel.
Fabrickly provides clothing design, technical package (Tech Pack) creation, sample making, bulk manufacturing, and private label (Ready Stock) services. By placing an order or paying a deposit, you agree to these Terms.
Client IP: The Client retains ownership of all logos, trademarks, and specific brand assets provided to Fabrickly.
Fabrickly IP: All Tech Packs, patterns, and design files created by Fabrickly remain the property of Fabrickly until the final balance for that specific service is paid in full.
Ready Stock: For “In-House Stock” items, the garment silhouettes and patterns remain the exclusive property of Fabrickly.
Tolerances: The Client acknowledges that in textile manufacturing, a size tolerance of +/- 1.5cm from the spec sheet and a color variation of +/- 5% (Lab-dip variance) is industry standard and acceptable.
Quantity Variance: For bulk production, Fabrickly reserves the right to deliver +/- 5% of the ordered quantity due to production wastage or overruns. The final invoice will be adjusted accordingly.
Samples: 100% payment is required upfront for all sample developments and Tech Packs.
Bulk Production: Typically requires a 50% deposit to begin production and the remaining 50% balance plus shipping costs before dispatch from the factory/warehouse.
Non-Refundable: Once raw materials are purchased or production begins, deposits are non-refundable.
DDP Shipping: Where specified, Fabrickly provides Delivered Duty Paid (DDP) shipping to the USA, UK, and EU. This means we handle customs and duties.
Delays: While we provide estimated lead times (e.g., 15–21 days), Fabrickly is not liable for delays caused by third-party couriers, customs inspections, or “Force Majeure” events (natural disasters, port strikes).
Quality Check: The Client must inspect all goods within 7 business days of delivery.
Defects: Claims for manufacturing defects must be submitted in writing with photographic evidence. Fabrickly will, at its discretion, offer a credit, refund, or replacement for items exceeding the 2% allowable defect rate.
Change of Mind: As services are B2B and often customized, we do not offer returns for “change of mind.”
Fabrickly’s total liability for any claim shall not exceed the total amount paid by the Client for the specific order in question. We are not liable for lost profits or indirect damages.
These terms are governed by and construed in accordance with the laws of Denmark. Any disputes shall be settled in the courts of Denmark.
